Terms and Conditions
Contractual terms for engineering services provided by Theves Energy.
§ 1 Scope of Application
(1) These Terms and Conditions (T&C) apply to all contracts, deliveries, and services of Theves Energy, Ahmad Buschhüter, 52064 Aachen (hereinafter "Contractor"), to its customers (hereinafter "Client").
(2) The offer is exclusively directed at entrepreneurs within the meaning of § 14 BGB (B2B).
§ 2 Scope of Services
(1) The Contractor is specialized in engineering services, PCB design, and electronics development.
(2) The basis is the written offer accepted by the Client. Subsequent changes to the scope of services require written agreement.
§ 3 Client Cooperation Obligations
The Client ensures that the Contractor is provided with all documents, specifications, and approvals required for the execution of the work in a timely manner and free of charge. Delays due to lack of cooperation shall not be borne by the Contractor.
§ 4 Compensation and Payment Terms
(1) All stated prices are final prices. Pursuant to § 19 paragraph 1 UStG (Small Business Regulation), no sales tax is levied and not shown on invoices.
(2) Invoices are due for payment within 14 days of invoice date without deduction.
§ 5 Acceptance and Warranty for Prototypes
(1) The Client is obligated to accept the work results as soon as they correspond to the agreed specifications.
(2) Hardware prototypes serve for experimental validation and do not have the characteristics of an approvable mass production product. The Contractor is not liable for error-free integration into third-party systems.
§ 6 Limitation of Liability
(1) The Contractor is liable without limitation for intent and gross negligence.
(2) In case of slight negligent breach of material contractual obligations, liability is limited to foreseeable, typical contractual damages. Liability for indirect damages, such as lost profits or production losses, is excluded.
§ 7 Intellectual Property and Rights of Use
Upon full payment of compensation, the Client receives the exclusive, spatially and temporally unlimited right to use the final development data created specifically for them (e.g. Gerber files). The Contractor's know-how regarding pre-existing modules remains unaffected.
§ 8 Jurisdiction
(1) German law applies.
(2) Place of performance and exclusive jurisdiction for all disputes arising from this contract is Aachen.
